1. Definitions

• "Spayces" or "Spayces Limited Company" refers to the platform, including all software, services, and related applications, and the legal entity operating them.
• "User" refers to any individual or entity accessing or using the Services.
• "Account Owner" refers to the individual or business that registers for a Spayces account.
• "Content" includes all data, text, images, and information uploaded or generated within the platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement under the laws of the Republic of Ghana to use the Services.

3. Account Registration and Responsibilities

• Users must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You agree to notify Spayces and/or Spayces Limited Company immediately of any unauthorized access or use.

4. Acceptable Use and Prohibited Activities

You agree to use Spayces only for lawful purposes and in compliance with all applicable laws of the Republic of Ghana and any other applicable jurisdiction.

Spayces and/or Spayces Limited Company strictly prohibits the use of its platform for the creation, promotion, sale, or distribution of illegal products or services in any form.

You must not:

• Use the platform for fraudulent, unlawful, or deceptive activities
• Sell, distribute, or facilitate illegal goods or services
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to other accounts or systems
• Upload harmful code, viruses, or malicious software

Spayces and/or Spayces Limited Company does not condone any illegal use of its Services. Users are solely responsible for ensuring compliance with applicable laws. Spayces and/or Spayces Limited Company shall not be held liable for any misuse of the platform.

5. Subscription, Billing, and Taxes

• Certain features may require a paid subscription.
• Fees, billing cycles, and payment terms will be disclosed at the point of purchase.
• Unless otherwise stated, all fees are exclusive of applicable taxes, including VAT, which may be charged in accordance with Ghanaian law. Users are encouraged and permitted to add necessary applicable taxes, including VAT, to the pricing of their products and services sold or provided on Spayces.
• Payments are non-refundable unless otherwise specified.
• Failure to make payments may result in suspension or termination of Services.

6. Data Protection and Privacy

Spayces complies with the Data Protection Act, 2012 (Act 843) and any regulations made thereunder in respect of all personal data processed in connection with the Services.

We implement appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing, accidental loss, destruction, or damage.

Personal data obtained in connection with the Services shall not be transferred outside Ghana except in compliance with the requirements of the Data Protection Act, 2012 (Act 843).

Spayces shall promptly notify affected parties of any data breach affecting personal data processed in connection with the Services.

7. Intellectual Property

All rights, title, and interest in the Services remain the property of Spayces and/or Spayces Limited Company.

Users may not copy, reproduce, modify, distribute, or reverse engineer any part of the platform without prior written consent.

8. Third-Party Integrations

The Services may include integrations with third-party providers. Spayces and/or Spayces Limited Company is not responsible for the performance, security, or practices of third-party services.

9. Service Availability

• The Services are provided on an "as is" and "as available" basis.
• Spayces does not guarantee uninterrupted or error-free operation.
• Maintenance, updates, or unforeseen issues may result in temporary interruptions.

10. Termination

• Users may terminate their account at any time.
• Spayces and/or Spayces Limited Company may suspend or terminate accounts that violate these Terms or applicable laws.
• Upon termination, access to Services will cease, and data may be deleted after a reasonable period.

11. Limitation of Liability

To the maximum extent permitted under the laws of the Republic of Ghana:

• Spayces and/or Spayces Limited Company shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the amount paid by the User for the Services in the preceding 12 months.

Nothing in these Terms excludes liability where such exclusion is not permitted under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Spayces and/or Spayces Limited Company from any claims, damages, or losses arising from:

• Your use of the Services
• Your violation of these Terms
• Your breach of applicable laws

13. Electronic Communications

By using the Services, you consent to receive communications from Spayces and/or Spayces Limited Company electronically, including notices, updates, and legal communications. Such communications satisfy any legal requirement for written communication.

14. Force Majeure

If either party is affected, or likely to be affected, by an event which is not preventable despite the party taking all necessary precautions and consideration of alternatives:

• that party must immediately give the other prompt notice giving full particulars of the event of force majeure claimed and the steps taken to rectify it; and
• the obligations under these Terms of the party giving the notice are suspended to the extent to which they are affected by the relevant event of force majeure during but no longer than the continuance of the force majeure.

A party claiming force majeure must use its best endeavours to remove or overcome the effects of that force majeure as quickly as possible.

For purposes of this clause, force majeure shall mean an event beyond a party's reasonable control, including, but not limited to, acts of war, terrorism, civil unrest, or natural disasters.

15. Changes to Terms

Spayces and/or Spayces Limited Company may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise resolved through mutual agreement or alternative dispute resolution mechanisms.

18. Entire Agreement

These Terms constitute the entire agreement between you and Spayces and/or Spayces Limited Company regarding the use of the Services and supersede all prior agreements.
